NOTICE NEGOTIATION SALE OF SCIC’S STAKE IN 742 INVESTMENT AND CONSTRUCTION JOINT STOCK COMPANY

State Capital Investment Corporation (SCIC) would like to announced an agreement to sell shares of SCIC at 742 Investment and construction Joint stock company as follows:

1. Charter capital: 9.5 billion VND.

SCIC capital: 6.22249 billion VND (accounting for 65.5% of charter capital)

Main lines of business: construction railways and roads; Construction all kinds of house; Construction of public works; Prepare surface; Architectural and engineering activities and technical consultancy related; Production of building materials from clay; Wholesale material, other equipment installed in the building; Installation of electrical systems; Toll collection for road transport; Production of concrete products and cement and plaster; Installation of supply, drainage, heating and air conditioning; Installation of the system water supply and drainage.

2. The number of SCIC’s shares at 742 Investment and construction JSC: 622.249 shares, starting price: 16.600 VND / share (par value: VND10.000 / share).
3. Number of outstanding shares: 622.249 shares.    
4.   All the outstanding shares (622.249) will be transferred to the private placement method from October 10^th 2016 to October 18^th 2016 with a starting price of 16.600dong/ shares under the conditions are as follows:

1. 1Investors submit the application form at Dong A Bank Securirties Company (DAS) from 8:00 hrs, October 10^th 2016 to 15:00 hrs October 19^th 2016.
2.                a. The investors have to purchase the full subscription of the SCIC’s shares and a deposit 10% value of the total registered with starting price at:

-          Name Account: State Capital Investment Corporation (SCIC)

-          Account number: 0011002550086 at Commercial Bank for Foreign Trade of Vietnam

-          Contents: Name / ID card / Business Registration / date and place of issuance; Pay the deposit to buy 622.249 shares of 742 Investment and construction JSC (name the subscribed shares).

b. In case of there is only investor: The investor who bids at a price no less than the above-said starting price will be the successful bidder.

c. In case of therer are more than two investors The investor who bids at a price no less than the above-said starting price will be the successful bidder. The securities firm will implement the competitive offer via balloting among these investors with the starting price being the highest equal price. The investor who pays higher is the one chosen to buy SCIC’s shares with the private placement method.

d. Within 07 working days (after receiving the notice of the SCIC), According to the term A, if successful bidder who has not paid all the money to buy shares into the account , will be excluded from the list of investors to buy shares and do not get back the deposit,The next investor who meets the stipulated conditions will bought deal.
